IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 9-1-1 OR SEEK IMMEDIATE EMERGENCY MEDICAL CARE. FLEXUP WELLNESS PLLC DOES NOT PROVIDE EMERGENCY MEDICAL SERVICES, AND ELECTRONIC MESSAGING, TELEHEALTH, AND THE FLEXUP WELLNESS WEBSITE SHOULD NOT BE USED FOR MEDICAL EMERGENCIES.

1. Introduction

Flexup Wellness PLLC (“Flexup Wellness,” “we,” “us,” or “our”) owns and operates the Flexup Wellness website and provides healthcare and wellness services through both in-person and telehealth encounters.

These Terms and Conditions (“Terms”) govern your use of the Flexup Wellness website, online resources, communications, and services. By accessing the website, scheduling an appointment, enrolling in a program or Partnership, or otherwise using Flexup Wellness services, you acknowledge that you have read and agree to these Terms.

These Terms should be read together with our Privacy Policy, Notice of Privacy Practices, informed-consent documents, telehealth consent, financial policies, and any program-specific agreements provided to you.

2. Flexup Wellness Services

Flexup Wellness is a healthcare and wellness practice that provides individualized services that may include:

  • Comprehensive health consultations;

  • Gastrointestinal and digestive health evaluation and management;

  • Mental wellness and mind-body health support within the scope of services offered by Flexup Wellness;

  • Metabolic health and weight-management services;

  • Hormonal and men's health services;

  • Nutrition and lifestyle guidance;

  • Functional and integrative health strategies;

  • Laboratory testing, ordering, and interpretation when clinically appropriate;

  • Medication and supplement recommendations when clinically appropriate;

  • Continuous glucose monitoring and other health-monitoring programs;

  • Ongoing care through the Flexup Wellness Partnership;

  • In-person appointments;

  • Telehealth appointments;

  • Health education and wellness resources; and

  • Letters of Medical Necessity and other documentation when clinically appropriate.

The specific services available may change over time.

Flexup Wellness does not guarantee that any particular treatment, medication, laboratory test, supplement, device, Letter of Medical Necessity, or other service will be appropriate for every patient.

3. In-Person and Telehealth Care

Flexup Wellness operates as a hybrid practice offering both in-person and telehealth appointments.

Telehealth involves the delivery of healthcare using electronic communications, which may include video, audio, secure messaging, electronic health records, and other technologies.

Telehealth has limitations. A remote examination may not provide all of the information obtainable during an in-person physical examination. Flexup Wellness may determine that an in-person examination, laboratory testing, imaging, specialist evaluation, urgent care evaluation, emergency evaluation, or other assessment is necessary before providing or continuing a particular service.

You agree to provide accurate information regarding your physical location at the time of a telehealth encounter when requested. Healthcare services may only be provided in jurisdictions where the treating clinician is legally authorized to provide those services.

Flexup Wellness may require an in-person appointment when clinically or legally appropriate.

4. Establishment of a Patient-Provider Relationship

Merely accessing the Flexup Wellness website, reading educational materials, submitting an inquiry, or communicating with Flexup Wellness for administrative purposes does not establish a patient-provider relationship.

A patient-provider relationship is established only after Flexup Wellness accepts you as a patient and the appropriate clinical intake, consent, and evaluation requirements have been completed.

Once a patient-provider relationship has been established, clinical decisions are based upon individualized professional judgment and the information reasonably available to the treating clinician.

5. Independent Clinical Judgment

All clinical decisions are made using the independent professional judgment of the treating licensed clinician.

Nothing contained on the Flexup Wellness website, in marketing materials, educational articles, social media, newsletters, or other general communications should be interpreted as individualized medical advice.

Recommendations regarding medications, supplements, laboratory testing, nutrition, lifestyle interventions, referrals, or other treatments are made based upon individual circumstances and are not guaranteed to produce any particular outcome.

6. Scope and Limitations of Care

Flexup Wellness provides healthcare within the professional scope, training, licensure, and clinical judgment of its clinicians.

Flexup Wellness is not a replacement for emergency medical services, hospitalization, or specialty medical care when those services are necessary.

Patients are responsible for maintaining appropriate relationships with primary-care clinicians and specialists when recommended or medically necessary.

Flexup Wellness may decline to provide or continue a service when the clinician determines that the requested treatment is medically inappropriate, outside the clinician's scope of practice, requires a higher level of care, or cannot safely be provided through Flexup Wellness.

7. Letters of Medical Necessity, HSA and FSA Documentation

Flexup Wellness may provide Letters of Medical Necessity (“LMNs”) or other supporting documentation when the treating clinician determines that such documentation is clinically appropriate.

An LMN is a clinical determination and is not automatically provided merely because a patient requests one or participates in a Flexup Wellness program.

Flexup Wellness does not determine whether an expense ultimately qualifies for reimbursement or payment through a Health Savings Account (“HSA”), Flexible Spending Account (“FSA”), Health Reimbursement Arrangement (“HRA”), insurance plan, employer benefit, or other financial program.

Eligibility and reimbursement decisions are made by the applicable plan administrator, financial institution, insurer, employer, or governmental authority.

Accordingly, Flexup Wellness does not guarantee that an LMN or other documentation will result in reimbursement, tax deductibility, or eligibility of any particular expense.

Patients are responsible for determining the rules applicable to their individual HSA, FSA, HRA, insurance, or tax situation.

8. Flexup Wellness Partnership and Ongoing Programs

Flexup Wellness may offer ongoing programs or membership-style services, including the Flexup Wellness Partnership.

The services included in a Partnership or other program will be described at enrollment and may include scheduled follow-up visits, secure clinical messaging, laboratory services, health-monitoring programs, LMN support, supplement-related services, or other benefits.

Participation in a Partnership does not guarantee unlimited access, immediate responses, specific treatments, prescriptions, laboratory testing, referrals, or medical documentation.

Clinical services remain subject to medical necessity and professional judgment regardless of membership or Partnership status.

Flexup Wellness may modify the structure, pricing, or included services of its programs. Material changes affecting an active patient's paid program will be communicated as appropriate.

9. Secure Messaging and Communication

Patients may have access to electronic or secure messaging as part of their care.

Messaging is intended for appropriate non-emergency clinical questions, care coordination, and administrative communication. It is not intended to replace scheduled medical evaluations when a more comprehensive assessment is necessary.

Response times are not guaranteed, and messages may not be reviewed outside normal business hours.

Do not use electronic messaging for emergencies or potentially life-threatening symptoms.

10. Laboratory Testing

Flexup Wellness may order, facilitate, recommend, or interpret laboratory testing.

Laboratory testing may be performed by independent third-party laboratories. Those laboratories may have their own billing practices, privacy policies, terms, specimen requirements, and fees.

Unless specifically stated as included in a Flexup Wellness service or program, laboratory costs are the patient's responsibility.

The inclusion of laboratory testing in a particular Flexup Wellness program does not guarantee that every laboratory test desired or recommended will be included. Additional testing may result in additional charges.

11. Medications, Supplements and Pharmacies

When clinically appropriate and legally permitted, Flexup Wellness clinicians may prescribe medications or recommend prescription medications, over-the-counter products, supplements, nutritional products, or other interventions.

Flexup Wellness is not a pharmacy. Prescription fulfillment is performed by independent pharmacies.

Medication and product availability, pricing, shipping, dispensing, substitutions, insurance coverage, and pharmacy operations are generally outside Flexup Wellness's control.

Patients should disclose all medications, supplements, allergies, medical conditions, and relevant health information to their clinician.

No medication, supplement, or treatment is guaranteed to produce a particular result or to be free of adverse effects.

12. Third-Party Products and Services

Flexup Wellness may recommend or provide access to third-party laboratories, pharmacies, supplement companies, medical devices, continuous glucose monitors, health technology platforms, or other products and services.

Some of these relationships may involve professional discounts, referral arrangements, wholesale purchasing, retail margins, or other financial relationships where legally permitted.

Clinical recommendations will be based upon professional judgment rather than solely upon the existence of a financial relationship.

Third-party products and services remain subject to the terms, warranties, privacy practices, availability, and policies of the applicable third party.

13. Educational Information

Articles, blog posts, videos, social-media content, downloadable materials, newsletters, website information, and similar resources produced by Flexup Wellness are provided for general educational purposes.

They do not constitute individualized medical advice and should not be used to diagnose or treat a medical condition without appropriate clinical evaluation.

14. Privacy and Health Information

Flexup Wellness takes the confidentiality and security of patient information seriously and uses healthcare technology and electronic systems intended to protect health information consistent with applicable federal and Massachusetts privacy requirements.

Information collected as part of healthcare services may be used and disclosed as permitted or required for treatment, payment, healthcare operations, legal compliance, and other authorized purposes.

Additional information regarding privacy practices is provided through the Flexup Wellness Privacy Policy and applicable Notice of Privacy Practices.

15. Electronic Communications

By providing your email address, telephone number, or other electronic contact information, you consent to receiving communications related to appointments, billing, treatment, programs, services, and administrative matters as permitted by applicable law and your communication preferences.

Electronic communication carries inherent privacy and security risks. You are responsible for maintaining appropriate security over your devices, email accounts, passwords, and communications.

16. Eligibility and Accuracy of Information

You agree to provide complete and accurate information concerning your identity, health history, medications, symptoms, allergies, laboratory results, and other information relevant to your care.

Failure to provide accurate or complete information may affect the safety and effectiveness of recommendations or treatment.

Services are generally intended for adults who are legally able to consent to healthcare unless Flexup Wellness expressly agrees otherwise.

17. Payment and Cash-Pay Services

Flexup Wellness operates primarily as a direct-pay healthcare practice.

Fees for consultations, Partnerships, programs, testing, products, add-on services, and other services will be disclosed before purchase or enrollment.

Unless expressly stated otherwise, payment is due according to the financial terms presented when the service is scheduled or purchased.

Patients are responsible for understanding the costs associated with their care before proceeding with a service.

Flexup Wellness may change its fees prospectively at any time.

18. Insurance

Unless specifically stated otherwise, Flexup Wellness services are provided on a cash-pay or direct-pay basis and Flexup Wellness does not guarantee reimbursement from health insurance.

Patients may independently submit documentation to an insurer when permitted, but Flexup Wellness does not guarantee reimbursement or out-of-network benefits.

Patients remain responsible for all charges regardless of whether an insurer, employer, HSA, FSA, HRA, or other third party reimburses them.

19. Recurring Payments and Partnership Billing

Programs involving recurring payments will be billed according to the terms disclosed at enrollment.

By enrolling in a recurring program, you authorize Flexup Wellness or its payment processor to charge the payment method you provide according to the applicable billing schedule until the program is canceled or otherwise terminated.

Cancellation affects future billing and does not automatically entitle a patient to reimbursement of previously paid fees.

Any program-specific cancellation terms disclosed at enrollment will also apply.

20. Cancellation, Missed Appointments and Refunds

Appointments are reserved specifically for individual patients.

Flexup Wellness may maintain cancellation, rescheduling, late-arrival, and missed-appointment policies. Applicable fees and notice requirements will be disclosed through scheduling, intake, financial policies, or program agreements.

Except where otherwise required by law or expressly provided in a written Flexup Wellness policy, fees for completed services are non-refundable.

21. No Guarantee of Results

Healthcare is inherently individualized.

Flexup Wellness does not guarantee specific health outcomes, symptom improvement, weight loss, laboratory changes, hormonal changes, medication response, reimbursement, or any other particular result.

Patient outcomes may depend upon numerous factors outside Flexup Wellness's control, including adherence, genetics, underlying disease, medications, lifestyle, environment, and other medical conditions.

22. Website Use and Intellectual Property

The Flexup Wellness website and its original content, branding, graphics, educational materials, trademarks, service marks, and other intellectual property are owned by or licensed to Flexup Wellness unless otherwise indicated.

You may use the website and its materials for personal, noncommercial purposes. You may not reproduce, modify, distribute, sell, republish, or commercially exploit Flexup Wellness content without prior written permission.

Flexup Wellness® is a federally registered trademark of Flexup Wellness PLLC. Unauthorized use of the Flexup Wellness name, logo, or confusingly similar marks is prohibited.

23. Prohibited Uses

You may not use the Flexup Wellness website or services to:

  • Commit fraud or engage in unlawful activity;

  • Impersonate another person;

  • Submit false or misleading health or identity information;

  • Attempt unauthorized access to electronic systems or patient information;

  • Introduce malware or harmful computer code;

  • Interfere with the operation or security of the website or services; or

  • Violate the intellectual-property, privacy, or other legal rights of another person.

24. External Websites and Resources

The Flexup Wellness website may contain links to third-party websites, products, services, or resources.

Flexup Wellness does not control these third parties and is not responsible for their content, availability, privacy practices, pricing, products, services, or representations.

25. Modification or Discontinuation of Services

Flexup Wellness may add, modify, suspend, or discontinue website features, programs, Partnerships, products, or services.

Clinical care will be transitioned or terminated in accordance with applicable professional and legal obligations when a patient-provider relationship exists.

26. Disclaimer Regarding Website Services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FLEXUP WELLNESS WEBSITE AND GENERAL EDUCATIONAL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FLEXUP WELLNESS DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR FREE FROM TECHNICAL INTERRUPTIONS.

Nothing in this section is intended to waive or limit rights or obligations that cannot legally be waived under applicable healthcare or consumer-protection law.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Flexup Wellness will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of the website or non-clinical services.

Nothing in these Terms is intended to exclude or limit liability where such limitation is prohibited by law or to eliminate professional duties owed to an established patient.

28. Termination of Services

You may discontinue use of the website or terminate participation in an ongoing program subject to applicable financial and cancellation policies.

Flexup Wellness may restrict or terminate website access or non-clinical services for violations of these Terms.

When an established patient-provider relationship exists, termination of clinical care will be handled in accordance with applicable professional, ethical, and legal requirements.

29. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except where federal law controls.

Any legal proceedings concerning these Terms shall be brought in a court of competent jurisdiction as permitted by applicable law.

30. Changes to These Terms

Flexup Wellness may revise these Terms periodically as its services, programs, technology, or legal obligations change.

The current version will be identified by its “Last Updated” date. Continued use of the website or services following an effective revision constitutes acceptance of the revised Terms to the extent permitted by law.

31. Severability and Entire Agreement

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

These Terms, together with applicable privacy notices, consent forms, financial policies, Partnership agreements, and other documents expressly incorporated by reference, constitute the applicable agreement concerning use of the Flexup Wellness website and services.
